'E3-1240 v2' or 'Dual L5420' for esx 5 encoder

HI

 

I currently have a stand alone video  encoder virtual sever running on a  Dual  L5420  which also runs a webserver .  The  Dual L5420  CPU is   older (2008) but has 2 * CPUS with  4 Cores each for a total of 8 Cores.- It also has 12M  L2  cache and a clock  speed of 2.5.  -  http://ark.intel.com/products/33929/Intel-Xeon-Processor-L5420-12M-Cache-2_50-GHz-1333-MHz-FSB?q=L542

  The E3-1240.v2  setup I  have in mind is one  E3-1240.v2  CPU , which has a clock speed of 3.4 and 8 MB Cache -   http://ark.intel.com/products/65730 .

What I wanted to know is is it worth the upgrade from 8 cores to the  newer 4 core * threaded E3-1240v2.  Which setup will work best with esx5 server running a video encoder and a webserver ?
